Overview
What these Terms cover and how to read them.
If you have a written agreement with Zaph (for example, an enterprise agreement or DPA), that agreement may override parts of these Terms for the covered scope.
Eligibility & Account Registration
Age requirements, accurate information, and account responsibility.
- Eligibility: You must be at least 18 years old (or the age of majority where you live) to use the Service.
- Accurate information: You agree to provide accurate account information and keep it up to date.
- Account security: You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.
- Invited users / seats: Workspace admins may invite additional users and assign roles. Workspace admins are responsible for managing access and permissions within their workspace.
The Service
What Zaph provides and what may change over time.
Zaph provides features that may include standup generation, metrics dashboards, summaries, notifications, onboarding flows, and administrative controls. Some features may be offered as beta/preview functionality.
Integrations & OAuth
Connecting third-party tools (read-only, scoped, revocable).
Zaph supports OAuth-based “one-click” integrations such as Slack, Jira, GitHub, Confluence, and Bitbucket. You authorize Zaph to access data based on the scopes you approve.
- Read-only access: Zaph is designed to use read-only signals to generate summaries, standups, and metrics.
- Project-scoped configuration: You can map integrations to projects and limit what is included in generation.
- Revocable: You can disconnect integrations or revoke access via the third-party provider at any time.
Your use of integrated third-party services is governed by those providers’ terms. Zaph is not responsible for third-party services, their availability, or their behavior.
Subscriptions, Billing & Trials
Plans, fees, renewal, and payment handling.
Some parts of the Service may require a paid subscription. If you purchase a subscription, you agree to pay the applicable fees and taxes and comply with our billing processes.
We may use third-party payment processors (for example, Stripe). Payment details may be handled directly by the processor under their terms and privacy practices.
Acceptable Use
Rules designed to protect customers and the platform.
You agree not to misuse the Service. In particular, you may not:
- Use the Service for unlawful, harmful, or fraudulent activity.
- Attempt to probe, scan, or test the vulnerability of the Service or any related system.
- Reverse engineer, decompile, or attempt to discover source code (except where legally permitted).
- Bypass access controls or attempt to access data outside your workspace.
- Upload malware or use automated tools to overload or scrape the Service.
- Use the Service to infringe intellectual property or violate privacy rights.
- Misrepresent AI outputs as verified facts or official records when they are not.
If we believe your use threatens security, reliability, or other users, we may limit, suspend, or terminate access consistent with these Terms.
AI Features & Output Disclaimer
How to treat AI outputs and what Zaph is (and isn’t) responsible for.
Zaph may generate summaries, metrics narratives, highlights, and other outputs using AI. AI can be probabilistic and may produce incorrect, incomplete, or outdated results.
Zaph does not provide legal, financial, HR, or professional advice. If you need advice, consult a qualified professional.
Your Content & Workspace Data
Ownership, permissions, and responsibility for what you connect.
You retain ownership of your Workspace Data and any content you submit or generate in the Service (“Your Content”). To provide the Service, you grant Zaph a limited license to host, process, and display Your Content solely to operate and improve the Service for your workspace.
- You represent you have the rights and permissions needed to connect integrations and share data into Zaph.
- You are responsible for configuring scopes and access appropriately.
- You agree not to upload or share content that violates law or third-party rights.
Security & Trust
How we think about security, without over-claiming.
We build Zaph with secure-by-default practices (encryption, least privilege, strong isolation, controlled access). We continuously improve our security program as the product matures.
We are designing controls to align with SOC 2 Trust Services Criteria and working toward SOC 2 Type I. We do not claim certification unless and until an independent audit is completed.
Intellectual Property
What Zaph owns and what you can use.
The Service (including software, design, logos, and documentation) is owned by Zaph and protected by applicable intellectual property laws. Except for the limited rights granted to you under these Terms, we reserve all rights.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
Feedback
How we handle suggestions and product input.
Suspension & Termination
When access can be limited and what happens after.
You may stop using the Service at any time. We may suspend or terminate access if required to do so by law, if you violate these Terms, or if your use poses a security or reliability risk.
After termination, certain provisions of these Terms that by their nature should survive will survive (for example, IP, disclaimers, limitation of liability).
Disclaimers
The Service is provided as-is.
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI outputs will be accurate or complete.
Limitation of Liability
Reasonable limits typical for modern SaaS.
To the maximum extent permitted by law, Zaph will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.
To the maximum extent permitted by law, Zaph’s total liability for any claim relating to the Service will not exceed the amount you paid to Zaph for the Service in the 12 months before the event giving rise to the claim (or $100 if you have not paid anything).
Indemnification
You agree to protect Zaph in certain situations.
